Senior Counsel

Position: Senior Counsel

Reports to: Chief Financial Officer Location: GWG Holdings, Inc.

Minneapolis, MN

Primary Objective:

This position will be responsible for evaluating and structuring new products and services; directing regulatory matters with FINRA, the SEC, and other regulating bodies; managing corporate governance; drafting and negotiating contracts; and handling other corporate matters such as employment issues.


* Prepare, review and supervise the preparation of Securities Exchange Commission and other regulatory filings and investor/shareholder communications (including prospectuses, 10-K, 10-Q, 8-K, S-1, Form 4s, proxy materials, etc.) to ensure that all requirements and timelines are met.

* Manage external lawyers and internal GWG sales support personnel in the production and compliant distribution of sales and SEC materials.

* Manage the Company’s Annual Shareholder Meeting and associated proxy and other materials including items requiring shareholder voting.

* Manage GWGH’s relationship with its managing broker dealer in relation to the compliant sales and marketing of the Company’s investment products.

* Perform research, provide counsel and draft and negotiate documents on IP and technology issues for our Insurtech subsidiary, Life Epigenetics Inc..

* Assist on regulatory examinations and inquiries as necessary.

* Board of Directors and Board Committees:

o Prepare and review charters and membership of all Committees.

o Oversee all aspects of the planning, preparation and execution of Board meetings.

o Draft and review Board meeting materials, including agendas, meeting notices, cover letters, resolutions and all other corporate governance documentation.

o Attend Board and Committee meetings and present as necessary. Draft, circulate and resolve comments to Board and Committee meeting minutes in a timely fashion.

o Resolve routine comments on Board materials from in-house counsel, auditors and other reviewers.

* Draft and negotiate various company contracts and agreements. Manage company transactions such as financing arrangements, investment opportunities, etc.

* Review marketing materials, update disclosure language, and provide guidance to internal team.

* Manage litigation, update corporate insurance policies annually, and provide guidance on company’s charitable foundation.

* Responsible for the annual review and renewal of company policies.


* Juris Doctor and MN State Bar admission.

* Minimum 6 years of relevant public company representation, corporate finance and governance legal experience – public company/SEC and corporate finance experience a requirement.

* Relevant experience at a law firm; in house experience is a plus.

* Excellent business judgment, ability to think strategically and to give practical advice.

* Strong interpersonal skills and excellent written and oral communication skills.

* Excellent organizational and presentation skills.

* Ability to work well both independently and as part of a highly collaborative team, in a fast paced environment.

* Candidate must be an independent self-starter with the ability to follow through and complete tasks in a team environment.

* Candidate must be able to work under pressure and prioritize competing tasks that require the highest level of attention to detail and accuracy.

* Candidate will be responsible for coordinating with multiple internal and external parties, therefore candidate must demonstrate a cooperative attitude and exceptional interpersonal and consensus building skills.

* Duties must be accomplished according to timelines which candidate will create, monitor and maintain; therefore strong project management and time management skills are a must.

* Advanced proficiency with Microsoft Office (Outlook, Word, Excel, Access and PowerPoint).
