Job Description

Proterra Investment Partners (“Proterra”) is a global alternative investment manager focused on private equity investments in the natural resource sectors of agriculture, food and metals & mining.  Proterra operates from a head office in Minneapolis (United States) and has field offices in London, Mumbai, Shanghai, Singapore, and Sydney.

We are seeking a lawyer to provide internal legal support for U.S. and, to a lesser extent, international legal matters, including corporate governance and general operations for Proterra and its affiliates.  The position will also support entity formation and maintenance, regulatory filings and other activities relating to Proterra’s global operations.  Specific responsibilities include:


  • Assist with legal support of operational functions of Proterra, including, finance, tax, compliance, investor relations, and human resources
  • Assist with fund closings and maintenance, including drafting/review and coordination of private placement memoranda, side letters and other ancillary documentation such as LP transfers, LP consents and other actions required of Funds or General Partners
  • Assist with the establishments, registration and maintenance of new or existing subsidiaries of Proterra
  • Support formation and ongoing maintenance of new fund structures
  • Review and negotiate legal contracts and other agreements to be entered into between Proterra or its affiliates with external counterparties in connection with non-investment aspects of its business
  • Support the investment process as needed
  • Assist with design and documentation of Proterra’s governance matters and legal entity maintenance
  • Monitor changes to federal and state laws, rules and regulations applicable to Proterra, assess impact on Proterra’s business, and provide advice to the compliance and other operational functions and assist with implementation of program changes as necessary to ensure compliance
  • Such other responsibilities as may be determined from time to time


  • A JD from an accredited law school and admitted to practice law in Minnesota
  • 3 years of law firm experience
  • Experience/working knowledge of mergers and acquisitions and complicated transactions
  • Outstanding legal analysis and drafting skills, including the ability to negotiate and complete various agreements, contracts and related documentation in conjunction with, and independently of, outside counsel
  • Demonstrated strong written and oral communication skills, including ability to brief and communicate complex issues in a succinct and comprehensive manner
  • Excellent analytical and organizational skills, ability to manage multiple projects at once, follow through and meet deadlines
  • Demonstrated ability to critically think through problems and offer solutions to resolve them
  • Strong interpersonal skills including the ability to stand up for convictions in multi-disciplined professional organization and communicate professionally with personnel at all levels


  • Experience/working knowledge of securities laws, rules and regulations applicable to Registered Investment Advisers and private fund offering and related matters, including the Investment Adviser Act of 1940, Investment Company Act of 1940, Securities Act of 1933 and Securities Exchange Act of 1934
